The same difference between 3d studio for DOS and 3d Studio Max for Windows.  8)

there are many differences. Softimage 3d was used in many films like jurassic park. First it was only availbale on SGI, the also on WinNT
softimage decided then to develop a next generation tool: XSI

Softimage 3D looks as an interface similar to teletext and is very old now.

XSI is very modern much nicer interface and nonliner workflow and integrated with Mental ray not sure if Soft 3D had Mentalray as integrated as in XSI.
